Terms of Service

1. Introduction & Acceptance

These Terms of Service ("Terms") govern your use of the Helm mobile application and any related services provided by Helm Inc. By creating an account or using the app, you agree to these Terms. If you do not agree, you may not use Helm.

2. Who We Are

Helm Inc. is a Minnesota corporation. Helm is a read-only personal finance dashboard application. We are NOT a bank, financial advisor, credit union, or investment advisor. We do NOT hold, transfer, or process your money, and we do NOT provide financial advice.

3. Eligibility

To use Helm, you must be at least 18 years old and a resident of the United States (required for the bank connection feature). You must provide accurate information when creating an account, and you may only create one account per person.

4. Your Account

You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@helm.com if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Bank Connections (Plaid)

Helm uses Plaid Inc. to connect to your financial institutions. By connecting your bank account, you also agree to Plaid's End User Privacy Policy (available at plaid.com/legal). Your bank login credentials are entered directly into Plaid's secure interface Helm never sees or stores your bank username or password. You authorize Plaid to retrieve your financial data on our behalf. You can disconnect your bank accounts at any time through the app.

6. Data and Privacy

Your use of Helm is also governed by our Privacy Policy. We collect and use your data solely to provide and improve the Helm service. We do NOT sell your personal or financial data to third parties.

7. Acceptable Use

You agree NOT to:

• Use Helm for any illegal purpose
• Attempt to hack, reverse-engineer, or access systems you are not authorized to use
• Create fake accounts or impersonate others
• Upload malicious code or attempt to disrupt the service
• Use Helm to facilitate money laundering or fraud

8. Intellectual Property

The Helm app, logo, branding, and all associated software are the exclusive property of Helm Inc. You are granted a limited, non-exclusive, non-transferable license to use the app for personal, non-commercial purposes. You may NOT copy, modify, distribute, or create derivative works of Helm.

9. Third-Party Services

Helm integrates with third-party services including Plaid, AWS, and Supabase. These services have their own Terms of Service and Privacy Policies. Helm is not responsible for the practices of these third-party services, and links or references to them do not constitute an endorsement.

10. Disclaimers

HELM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee that the app will be error-free or uninterrupted. Financial data displayed in Helm is sourced from your bank via Plaid and may not always be real-time or perfectly accurate. HELM IS NOT RESPONSIBLE FOR ANY FINANCIAL DECISIONS YOU MAKE BASED ON DATA DISPLAYED IN THE APP. We are not responsible for outages or errors caused by third-party services (e.g., Plaid downtime).

11. Limitation of Liability

To the maximum extent permitted by law, Helm Inc. shall not be liable for any indirect, incidental, or consequential damages, loss of data or financial loss arising from use of the app, or unauthorized access to your account caused by your failure to protect your credentials. Our total liability to you for any claim shall not exceed $100 USD.

12. Indemnification

You agree to indemnify and hold harmless Helm Inc. from any claims, losses, or expenses arising from your violation of these Terms or misuse of the app.

13. Dispute Resolution

Any disputes shall be governed by the laws of the State of Minnesota. Any disputes will be resolved through binding arbitration in Minnesota rather than in court. You waive your right to participate in class action lawsuits against Helm.

14. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of significant changes via email or in-app notification. Continued use of Helm after changes are posted constitutes your acceptance.

15. Termination

You may delete your account at any time through the app Settings. We may terminate your account for violation of these Terms. Upon termination, your right to use Helm ceases immediately.
